Commercial Law

This course will pro­vide an intro­duc­tion to the Cana­di­an legal sys­tem with empha­sis on legal prob­lems affect­ing the admin­is­tra­tion of busi­ness enter­pris­es. Focus will be on the law of contracts.

What you will learn

  • Acquire a theoretical base in commercial law, focusing on identifying and solving realistic legal problems that occur in the workplace.
  • Undertake an extensive study of the law of contracts, with specific emphasis on the law relating to the formation of contracts, complaints about performance in contracts, obtaining relief from breaches of contract, and collecting payment under contracts.
  • Explore issues related to non-contractual liability as you study the law relating to intentional torts such as fraud, conversion of goods, defamation, imitation of business markings, and interference with land use.
  • Understand the law of negligence both from a business and a professional liability perspective.
  • Discuss the legal relationships within business and review the structures of sole proprietorship, partnership and the limited partnership and corporations and how business raises capital in the legal environment.
  • Examine business lending and borrowing practices dealing with the granting of security and its enforcement, as well as problems arising from the law respecting negotiable instruments and guarantees.
